PRE-REGISTRATION NOTICE: The Architect of Longevity Multi-Purpose Cooperative is currently in the pre-registration phase — actively recruiting its Founding Board of 14 Directors (BOD) as the prerequisite to formal filing with the Cooperative Development Authority (CDA). This invitation is extended to qualified candidates for Board seats only.
The Cooperative Mandate

Infrastructure First.
Surplus Follows.

The The Architect of Longevity Multi-Purpose Cooperative is not a marketing scheme. It is a juridical entity — a cooperative being established under Philippine law (R.A. 9520) — designed to build, own, and operate a national logistics and distribution infrastructure for evidence-based phototherapy wellness technology. Surplus is distributed to members. Governance is institutional. The audit trail is clean.

01
Legal Entity
In active pre-registration with the Cooperative Development Authority (CDA) of the Philippines. A juridical entity being established — formal filing pending completion of the Founding Board of Directors recruitment. Full legal standing is conferred upon CDA approval., separate from any individual brand partner structure. Founding Board members — currently being recruited — will serve as Directors with fiduciary duty to cooperative members upon CDA registration.
02
Tax-Exempt Status
Upon CDA registration, the The Architect of Longevity Multi-Purpose Cooperative will operate under the tax-exempt provisions of Philippine law. Surplus distributions to members are not classified as taxable income under the cooperative framework — a structural advantage unavailable to conventional business entities.
03
Distribution Mandate
The cooperative's primary commercial mandate is the national distribution of LifeWave X39® Phototherapy technology — a patented, non-drug, non-chemical wearable wellness product backed by 80+ independent clinical studies and 90+ patents registered globally.
04
Independent Governance
The Founding Board operates independently of any direct upline commercial structure. This independence is mandated by Cooperative Development Authority (CDA) audit requirements and is structurally enforced through the cooperative's Articles of Cooperation and By-Laws. Financial oversight is handled by Fajardo & Cayetano Bookkeeping and Business Solutions Co..

Four Tiers.
One National Infrastructure.

The Architect of Longevity Multi-Purpose Cooperative is structured across four membership tiers — each with a defined share capital contribution, role mandate, and governance responsibility. Every tier is an asset holder, not a purchaser. Share capital is recorded on the Cooperative's audited balance sheet as member equity.

Tier 1 — Founding Board
Board of Directors
₱50,000
Share Capital · Tier 1 Asset
Fourteen (14) Founding Directors with full voting rights, fiduciary duty, and strategic oversight authority. Each Director's ₱50,000 contribution is recorded as Tier 1 Share Capital in the Cooperative's audited balance sheet — a member equity position, not a fee or payment to any individual. Directors are restricted to Strategic Oversight only. Day-to-day operations are delegated to Management.
Tier 1 Member Benefits
◈  Priority access to Annual Interest on Share Capital — distributed before lower tiers, proportional to ₱50,000 equity position.
◈  Priority access to Patronage Refund pools — the cooperative's legal framework for surplus distribution to members.
◈  Quarterly fiscal disclosures via the Fajardo & Cayetano Bookkeeping and Business Solutions Co. audit portal.
◈  Board vote on all major cooperative decisions — budget approvals, expansion, partnership agreements.
14 Seats Invitation Only Voting Rights Priority Surplus
Tier 2 — Operations
City Hub Operators
₱25,000
Share Capital · 149 Slots
One hundred forty-nine (149) City Hub Operators — one per target city — responsible for local distribution operations, inventory management, and 2-hour delivery fulfillment within their assigned node. Each operator holds a ₱25,000 Tier 2 Share Capital position and is contractually bound by the Cooperative's operational standards and delivery mandate. Each City Hub Operator holds exclusive rights to manage local 2-hour delivery logistics for their designated city grid — no competing Tier 2 operator may be assigned to the same node.
149 Slots City Exclusive 2-Hr Mandate
Tier 3 — Delivery Force
Logistics & Rider Partners
₱5,000
Share Capital · Delivery Force
Certified Logistics and Rider Partners who execute the 2-hour delivery commitment at ground level. Each Rider Partner holds a ₱5,000 Tier 3 Share Capital position — making them cooperative member-owners of the delivery infrastructure, not mere service contractors. Surplus distributions are proportional to patronage volume and governed by the Cooperative's by-laws.
Member-Owned Surplus Eligible
Tier 4 — General Membership
Associate Members
₱2,000
Share Capital · General Consumers
Associate Members are general consumers of LifeWave X39® Phototherapy products who elect to participate in the Cooperative's membership framework. A ₱2,000 Tier 4 Share Capital contribution grants access to member pricing, annual surplus participation, and the full benefits of cooperative membership without operational or governance obligations.

The National Grid

149 Cities.
One Network.

The cooperative's distribution infrastructure is designed as a national grid — not a hierarchy. Every city node operates under standardized cooperative protocols, ensuring consistent product delivery, member accountability, and audit-ready records at every point in the supply chain.

2hr
The 2-Hour Delivery Commitment
Every cooperative member city node is mandated to fulfill product orders within 2 hours of placement. This is not a marketing promise — it is a contractual term embedded in each node's cooperative membership agreement, monitored through the central logistics system, and reportable in the annual Cooperative Development Authority (CDA) audit submission.

14 Seats.
14 Architects.

The Founding Board is composed of 14 Directors — each selected for their demonstrated leadership in building large-scale networks, their institutional credibility, and their capacity to govern a cooperative entity with fiduciary discipline. This is not a sales role. This is a directorial appointment.

Who May Apply

Proven Network Infrastructure
Demonstrated history of building and managing networks of 500 or more individuals — in direct sales, corporate organizations, civic associations, or professional bodies. The cooperative requires Directors who understand systems, not just sales.
Institutional Credibility
Recognized standing in one's professional, civic, or commercial community. Cooperative Development Authority (CDA) audit standards require Directors to be individuals whose appointment reflects institutional gravity, not promotional convenience.
Fiduciary Capacity
Willingness and capacity to discharge fiduciary duties as a cooperative Director — including attendance at quarterly Board meetings, review of financial statements, and co-signature on regulatory filings where required by Cooperative Development Authority (CDA) policy.
Geographic Mandate Alignment
Preferred: existing presence or established network influence in one or more of the 149 target cities. Each Director is expected to serve as the institutional anchor for their geographic zone, supporting node activation and member compliance.

Audit-Grade.
From Day One.

Every structural decision in the The Architect of Longevity Multi-Purpose Cooperative is made with the Cooperative Development Authority (CDA) audit trail in view. The following governance framework is embedded in the cooperative's Articles of Cooperation and enforced by Fajardo & Cayetano Bookkeeping and Business Solutions Co..

Mandatory Compliance Requirement
Pre-Membership Education Seminar (PMES)
Under the Cooperative Code of the Philippines (R.A. 9520), all prospective members — regardless of tier — are required to complete the Pre-Membership Education Seminar (PMES) before their membership application may be processed and their share capital accepted. A Certificate of Completion is mandatory and must be submitted as part of the membership documentation package. The PMES is administered by the Cooperative Development Authority (CDA) or an accredited cooperative educator. Non-compliance results in application rejection regardless of share capital readiness.
What PMES Covers: Cooperative principles and values · Rights and responsibilities of membership · Governance and Board oversight · Financial literacy and surplus distribution · Cooperative Development Authority (CDA) regulatory framework
📋
How to Complete Your PMES
PMES schedules are coordinated through the Fajardo & Cayetano Bookkeeping and Business Solutions Co. administrative office upon submission of your membership application. Once your Titan Vetting Form is received, the Board Secretariat will contact you within 5 business days with your PMES schedule and Certificate of Completion requirements.
Operational Barrier & Governance Firewall
Strategic Oversight vs. Daily Operations
The Cooperative maintains a strict institutional firewall between its Board of Directors and its Management Operations.
Board of Directors (Tier 1)
Restricted to Strategic Oversight only. Directors set policy, approve annual budgets, ratify major contracts, and review audit reports. They do not engage in daily operations, financial reconciliation, or product fulfillment activities. This separation is a Cooperative Development Authority (CDA) audit requirement and a structural provision of the Cooperative's By-Laws.
Management & Operations
Daily operations, logistics coordination, and financial reconciliation are handled exclusively by Cooperative Management — separate from the Board. All financial records are independently audited by Fajardo & Cayetano Bookkeeping and Business Solutions Co., ensuring transparency, regulatory compliance, and audit-grade accuracy at every operational level.
Governance Rule No. 4
Fiscal Transparency
Quarterly financial disclosures are provided to all Tier 1 (Founding Board) and Tier 2 (City Hub Operator) stakeholders via the Fajardo & Cayetano Bookkeeping and Business Solutions Co. audit portal. Disclosures include: quarterly surplus statements, inventory reconciliation reports, delivery grid performance metrics, and member equity ledger updates. Non-disclosure or delayed reporting constitutes a governance violation subject to review by the Board and the Cooperative Development Authority (CDA).

Why Institutions
Choose Cooperatives.

The cooperative structure is not incidental — it is strategic. Institutional investors, HR executives, and corporate wellness directors increasingly recognize cooperatives as the most defensible, scalable, and tax-efficient vehicle for national health infrastructure. The The Architect of Longevity Multi-Purpose Cooperative is purpose-built for this recognition.

Structural Advantage
Under Philippine Cooperative Law (R.A. 9520), registered cooperatives enjoy exemption from income tax on surplus, capital gains tax on member transactions, and VAT on sales to members. No equivalent structure in conventional commerce delivers this combination of legal protection and fiscal efficiency.
Corporate Wellness Integration
HR directors and corporate wellness program managers may engage the The Architect of Longevity Multi-Purpose Cooperative as a preferred institutional supplier of LifeWave X39® Phototherapy — eligible for bulk procurement at cooperative pricing, with full BIR-compliant documentation, official receipts, and audit-ready delivery records.
Long-Term Surplus Model
Founding Board Directors participate in annual surplus distribution under the patronage refund framework — proportional to their cooperative's transactional volume across the 149-city grid. This is not a commission. It is a structured surplus allocation governed by Cooperative Development Authority (CDA)-approved by-laws and reported in the annual audit.
